Description of SiteVia its Web sites, Clientexec Inc. ("CLIENTEXEC") provides you with access to a variety of resources, including download areas, communication forums and product information (collectively "the Site"). The Site, including any updates, enhancements, new features, and/or the addition of any new Web sites, are subject to these Terms and Conditions.
Use of SoftwareAny software that is made available to download from the Site is the copyrighted work of CLIENTEXEC and/or its suppliers. Any use of Software and accompanying documentation you download from the Site is governed by the terms of a software license agreement between you and CLIENTEXEC. You must read the license agreement and indicate your agreement to its terms prior to installing or using the software. CLIENTEXEC reserves all rights, title and interest not expressly granted. Any reproduction or redistribution of the Software not in accordance with the license agreement is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.
Free TrialsClientexec provides a 30 day free trial which can be claimed during the installation process. Only 1 trial license may be allocated per domain name for the lifetime of that domain. Making any attempt to claim additional trail licenses is prohibited. If you would like to continue using Clientexec after your trial period has expired you are required to purchase a license at clientexec.com or through one of Clientexec's partners.
Responsibility of PaymentIt is the customer's responsibility to make all payment by the given due date. It is not the responsibilty of CLIENTEXEC to contact customer about any recurring invoices. Customer is given the opportunity to log into the billing center and at any time see their next invoice due date and pay any outstanding invoices. Credit card on file will always be used for one time requests or recurring requests unless customer requests otherwise. Note: If customer is inactive due to lack of payment and wishes to reactivate, customer will be billed with the most current price for packages in his/her plan. A $10 Late Fee will be added to any invoice past due more than fifteen days. If account is canceled due to lack of payment the customer will need to pay 25% of amount due if they wish to reactivate their account.
Cancellations & RefundsAll Licenses & Packages must be cancelled no later then 48 hours prior to their next payment due date. No refunds will be provided for any payment unless the product or service you have purchased specifically states otherwise.
Upon cancellation it is your responsibility to ensure any PayPal subscriptions has been cancelled in your PayPal account. Any overpayments can be reviewed by our team on a case by case basis though these overpayments must be reported to us within 48 hours of the payment being sent.
Use of Forums and Public Communication"Forum" means a discussion group, chat area, bulletin board, news group, letter to CLIENTEXEC, its Webmaster or employees, or e-mail function offered as part of the Site. You agree not to upload, e-mail, post, publish or otherwise transmit through a Forum any content that: (a) is false or misleading; (b) is defamatory; (c) is harassing or invades another's privacy, or promotes bigotry, racism, hatred or harm against any group or individual; (d) is obscene; (e) infringes another's rights, including but not limited to intellectual property rights; (f) constitutes unsolicited bulk e-mail, "junk mail," "spam" or chain letters; (g) violates any applicable laws or regulations; or (h) includes a virus or worm or other such software that may damage the computer or information of another. Forums shall be used in a noncommercial manner only. You shall not distribute or otherwise publish any content containing a solicitation of funds, promotion, advertising, solicitation for goods or services, or other commercial matter. You agree not to solicit other users of the Site to use or join or become members of any commercial online or off-line service or other organization. Except where expressly authorized by CLIENTEXEC, you agree not to collect or store personal data about other users. CLIENTEXEC will not post nor allow posting of personal correspondence between users or between customer and CLIENTEXEC. Trouble ticket responses are for you and your special situation and are not to be posted in any public forums. By uploading, e-mailing, posting, publishing or otherwise transmitting content to any Forum or submitting any content to CLIENTEXEC, you automatically grant (or warrant that the owner of such rights has expressly granted) CLIENTEXEC a perpetual, royalty-free, irrevocable, nonexclusive right and license to use, reproduce, modify, adapt, publish, transmit and distribute such content on in any form, medium, or technology now known or later developed. In addition, you warrant that all so-called moral rights in the content have been waived.
Reseller LicensesReseller can only issue licenses to domains owned by internal customers. Internal customers are defined as customers whom you provide a dedicated server or a reseller account. You can not provide a license to a domain your customer is going to resell or give away. You can not provide Clientexec licenses as a hosted only service. Meaning you can not provide a hosting service where you provide nothing other then Clientexec licenses. DO NOT OFFER CLIENTEXEC LICENSES TO DOMAINS THAT ARE NOT FOR YOUR EXISTING CUSTOMER'S USE. If you are interested in offering External Licenses please contact [email protected] for more information. Clientexec can not be included in a bundle where the cost of Clientexec is more than the cost of the hosting account. For Pay As You Go Resellers, the minimum monthly commitment is $12.00 per month, even if the reseller has 0 allocated licenses.
Termination of UseYou agree that CLIENTEXEC may, in its sole discretion, at any time terminate your access to the Site and any account(s) you may have in connection with the Site due to your failure to follow the terms listed in this agreement. Access to the Site may be monitored by CLIENTEXEC. CLIENTEXEC also maintains the right to terminate your purchase providing a full refund is initiated prior to the deletion of the license.
Right of RefusalCLIENTEXEC holds the right to refuse any order. All payments will be refunded to the customer in less than 48 hours.
Voiding Support AccessCertain files are provided as 'open-source' (non-encoded) granting you the ability to modify parts of the code base.
While you have the ability to make such modifications as you see fit, doing so may void your right to support.
Modifications made by an official Clientexec employee or authorized contractor is exempt from this policy.
Transfer of OwnershipTransferring ownership of your purchased license is prohibited unless written permission is obtained from CLIENTEXEC. Only owners with active support will be able to transfer ownership. There will be a transfer fee of $25 USD to the new owner. Please submit a support ticket for these requests.
License RestrictionsYou can not run Clientexec on a private server or localhost without the approval of CLIENTEXEC INC.
You can not use the term "Clientexec" or any variation of the term in the domain name to be licensed unless prior approval has been provided by CLIENTEXEC INC.
